ELIGIBILITY: The American Express NRF Big Show Sweepstakes (“Sweepstakes”) is open to legal U.S. residents, who are at least 18 years of age or the age of majority in their jurisdiction of residence, whichever is greater, and in attendance at the 2024 NRF Big Show (“Event”). Void where prohibited. Employees, officers and directors and their immediate family members (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related) of American Express Travel Related Services Company, Inc. (“Sponsor”), the United States Tennis Association Incorporated, the USTA National Tennis Center Incorporated, and their respective parents, affiliates, subsidiaries and advertising and promotion agencies are not eligible to enter or win. Individuals who are employed by any local, state or federal government office or agency, elected officials and individuals listed on the OFAC Specially Designated Nationals and Blocked Persons (SDN) List are not eligible. By participating, entrants agree to be bound by these Official Rules and the decisions of the judges and/or Sponsor, which are binding and final on matters relating to this Sweepstakes. Sweepstakes is subject to all applicable federal, state and local laws.

TO ENTER: Between 7:00 a.m. Eastern Time (“ET”) on January 14, 2024 and 4:30 p.m. on January 16, 2024 and (“Sweepstakes Period”), there are two (2) ways to enter: 1) Digital Collectible Method: Visit the American Express Lounge at the Event, find the signage with the QR code, scan same, and follow the directions provided to claim the digital collectible and opt-in to the Sweepstakes. Entrant must have a Superlogic account (“Account”) with a digital wallet (“Digital Wallet”) in order to claim the digital collectible. To create an Account with a Digital Wallet, visit https://superlogic.com/amexnrflounge and click “Log In / Sign Up” in the upper right-hand corner and follow provided instructions to sign up for an Account. If entrant does not have a Digital Wallet at the time of entry, entrant will be sent an email with a link to claim the digital collectible at such time as entrant establishes a Digital Wallet. 2) Online Entry Form: To enter without claiming the digital collectible, visit https://forms.gle/SBXw44zc5J6UxTEa9 and follow the directions to complete and submit the online entry form. All entries must be received by 4:30 p.m. ET on January 16, 2024. Limit one (1) entry per person, regardless of method of entry. Multiple entries from any person will be void. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. All entries become the property of Sponsor and will not be acknowledged or returned.

DRAWING: One (1) potential winner will be selected in a random on or about January 23, 2024 from all eligible entries received. Odds of winning depend on the number of eligible entries received. Potential winner will be notified by email and/or telephone and required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release within a time period to be specified by Sponsor. If potential winner cannot be contacted within a reasonable time period, any required documents are not returned within the specified time period, or potential winner is not in compliance with these rules, prize will be forfeited and, at Sponsor’s discretion, an alternate winner will be selected. Only three (3) alternate winners will be selected; after which, prize shall remain unawarded, at Sponsor’s discretion.

PRIZE: Two (2) tickets to the 2024 US Open Tennis Championships - Women’s Final Match (“US Open”), scheduled to take place on Saturday, September 7, 2024 at Arthur Ashe Stadium in Queens, NY. Approximate Retail Value: $4,900. Actual value may vary depending on the real face value of the tickets once made available.  Any difference between actual value and ARV will not be awarded. TRAVEL/ACCOMMODATIONS ARE NOT INCLUDED AS PART OF PRIZE. Seat locations to be determined by Sponsor. Terms and conditions apply to use of tickets, including any raincheck policies. If, for whatever reason, the event is cancelled, no compensation or substitution will be provided, except at the sole discretion of Sponsor. Prize will be awarded digitally within the Ticketmaster app. If winner does not have a Ticketmaster account, they must establish one in order to receive the tickets. Establishing a Ticketmaster account is free. Prize is awarded “as is” with no warranty or guarantee, either express or implied. Winner is not permitted to transfer, assign or substitute prize or redeem prize for cash. Sponsor reserves the right to substitute prize of comparable or greater value. Winner is responsible for all federal, state and local taxes as well as any costs and expenses associated with prize acceptance and use not specified herein as being provided, including transportation and accommodations. All prize details are at Sponsor’s sole discretion.

US Open tickets are subject to all ticket terms and conditions, as well as all venue and US Open procedures, policies, protocols and mitigation measures, including, without limitation, security and guest conduct, health and safety, and applicable bag policies, and ticket holders must comply and abide by all such terms, conditions, procedures, policies, protocols and mitigation measures.

PUBLICITY GRANT: Winner, by acceptance of prize, except where legally prohibited, grants permission for Sponsor and its designees to use his/her name, address (city and state), photograph, voice and/or other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, in any manner and with any materials, worldwide in perpetuity, without notice or review or approval.

GENERAL CONDITIONS: Entrants, by participating, agree that Sponsor, the United States Tennis Association Incorporated, the USTA National Tennis Center Incorporated, the City of New York, and their respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes. Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered or garbled entries, emails, or other communication of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prize or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Persons who tamper with or abuse any aspect of the Sweepstakes or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes and, if terminated, at its discretion, select the potential winner from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor.

DISPUTES: This Sweepstakes shall be governed by and interpreted under the laws of the State of New York, U.S.A. without regard to its conflicts of law provisions. A.) Sending a Claim Notice.  For any and all disputes, claims, causes of action, or controversies (“Claims”) arising out of or in connection with this Sweepstakes or these Official Rules, entrant hereby agrees to send a written notice (a Claim notice) to Sponsor before beginning a lawsuit or arbitration, in order to provide an opportunity to resolve the Claim informally. Go to americanexpress.com/claim for a sample Claim notice. The Claim notice must describe the Claim and state the specific relief demanded. Notice to Sponsor must include entrant’s name and address and be sent to American Express ADR c/o CT Corporation System, 28 Liberty Street, New York, New York 10005. If the Claim proceeds to arbitration, the amount of any relief demanded in a Claim notice will not be disclosed to the arbitrator until after the arbitrator rules. B.) Arbitration.  Entrants hereby agree that any and all Claims shall be resolved, upon the election by entrant or Sponsor, by arbitration.  The party electing arbitration may select either the Judicial Arbitration and Mediation Services, Inc. (“JAMS”) or the American Arbitration Association (“AAA”). If Sponsor chooses the organization, entrant may select the other within 30 days after receiving notice of the initial selection.  Claims will be resolved pursuant to this Arbitration provision and the rules of the selected organization, except where those rules conflict with this Agreement. Contact JAMS or AAA to begin an arbitration or for other information.  In addition to JAMS or AAA, Claims may be referred to any other arbitration organization that is mutually agreed upon in writing by entrant and Sponsor, or to an arbitration organization or arbitrator(s) appointed pursuant to Section 5 of the Federal Arbitration Act, 9 U.S.C. Sections 1-16, provided that any such arbitration organization and arbitrator(s) will enforce the terms of the restrictions on arbitration provision set forth below. IF ARBITRATION IS CHOSEN BY ANY PARTY WITH RESPECT TO A CLAIM, NEITHER PARTY WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM IN COURT OR HAVE A JURY TRIAL ON THAT CLAIM. FURTHER, NEITHER SPONSOR NOR ENTRANT WILL HAVE THE RIGHT TO PARTICIPATE IN A REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR OTHER PERSONS SIMILARLY SITUATED, OR AS A MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. EXCEPT AS SET FORTH BELOW, THE ARBITRATOR’S DECISION WILL BE FINAL AND BINDING. NOTE THAT OTHER RIGHTS THAT ENTRANT WOULD HAVE IF ENTRANT WENT TO COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION. The arbitrator’s authority to resolve Claims is limited to Claims between Sponsor and entrant alone, and the arbitrator’s authority to make awards is limited to awards to Sponsor and entrant alone. Furthermore, Claims brought by either party against the other may not be joined or consolidated in arbitration with Claims brought by or against any third party, unless agreed to in writing by all parties. No arbitration award or decision will have any preclusive effect as to issues or Claims in any dispute with anyone who is not a named party to the arbitration. C.) Arbitration Procedures. This arbitration provision is governed by the FAA. The arbitrator will apply applicable substantive law, statutes of limitations and privileges. The arbitrator will not apply any federal or state rules of civil procedure or evidence in matters relating to evidence or discovery. Subject to the Limitations on Arbitration, the arbitrator may otherwise award any relief available in court. Entrant and Sponsor agree that the arbitration will be confidential.  Entrant and Sponsor agree that Entrant and Sponsor will not disclose the contact of the arbitration proceeding or its outcome to anyone, but Entrant or Sponsor may notify any government authority of the Claim as permitted or required by law. At any party’s request, the arbitrator will provide a brief written explanation of the award. The arbitrator’s award will be final and binding, subject to each party's right to appeal as stated in this section and/or to challenge or appeal an arbitration award pursuant to the FAA.  To initiate an appeal, a party must notify the arbitration organization and all parties in writing within 35 days after the arbitrator's award is issued. The arbitration organization will appoint a three-arbitrator panel to decide by majority vote based on written submissions any aspect of the decision objected to. The appeal will otherwise proceed pursuant to the arbitration organization's appellate rules. Judgment upon any award may be entered in any court having jurisdiction. At entrant’s election, arbitration hearings will take place in the federal judicial district of entrant’s residence. D.) Arbitration Fees and Costs.  Entrant will be responsible for paying entrant’s share of any arbitration fees (including filing, administrative, hearing or other fees), but only up to the amount of the filing fees entrant would have incurred if entrant had brought a Claim in court. Sponsor will be responsible for any additional arbitration fees. At Entrant’s written request, Sponsor will consider in good faith making a temporary advance of entrant’s share of any arbitration fees, or paying for the reasonable fees of an expert appointed by the arbitrator for good cause. Notwithstanding any other provision in these Official Rules and without waiving either party’s right to appeal such decision, should any portion of this provision be deemed invalid or unenforceable, then the entire provision (other than this sentence) shall not apply.  This Dispute Resolution section shall survive termination of these Official Rules.
